Terms of Service

Nova Routing Inc. operates under the Department of Transport Act. These terms govern the use of our freight logistics and transport routing optimization services.

1. Service Description

Nova provides B2B freight logistics and transport routing optimization software. Services include route planning, load distribution analysis, and compliance reporting tools. All services are subject to the regulatory framework established by the Department of Transport Act and applicable Canadian federal transport regulations.

2. User Obligations

Users must maintain accurate shipment and routing data. Users are responsible for ensuring that all inputs comply with federal transport laws, including but not limited to driver hours of service, vehicle weight limits, and cross-border documentation. Users shall not use the platform for any unlawful purpose or in a manner that violates the Department of Transport Act.

3. Intellectual Property

All software, algorithms, documentation, and data models provided by Nova are proprietary. Users receive a non-exclusive, non-transferable license to access and use the platform for internal operational purposes. No ownership rights are transferred. Users may not reverse engineer, copy, or redistribute any component of the service without prior written consent.

4. Data Handling and Privacy

Nova processes routing and shipment data solely for service delivery and compliance reporting. Data is stored on Canadian servers and handled in accordance with our Privacy Policy. Nova does not sell or share user data with third parties except as required by law or regulatory audit under the Department of Transport Act.

5. Limitation of Liability

Nova provides the service on an "as is" and "as available" basis. Nova disclaims all warranties, express or implied, including fitness for a particular purpose. Nova is not liable for indirect, incidental, or consequential damages arising from use of the platform, including routing errors, missed deliveries, or regulatory penalties. Total liability is limited to the fees paid in the twelve months preceding the claim.

6. Termination

Either party may terminate this agreement with 30 days written notice. Nova may terminate immediately if a user violates the Department of Transport Act or these terms. Upon termination, user access is revoked, and Nova will provide a data export within 14 business days. Nova retains the right to delete data after 90 days post-termination.

7. Amendments

Nova reserves the right to modify these terms. Users will be notified of material changes via email or platform notice at least 30 days before the effective date. Continued use after the effective date constitutes acceptance of the amended terms. Users who do not agree may terminate service without penalty within the notice period.

8. Governing Law and Disputes

These terms are governed by the laws of Canada and the province of Ontario. Any disputes shall be resolved through binding arbitration in Toronto, Ontario. Users waive the right to class action participation. Nova retains the right to seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
